Terms of Service

These Terms of Service ("Terms") are an agreement between you and [LEGAL ENTITY NAME] ("TAKSH", "we", "us") and govern your access to and use of the TAKSH website and business workspaces (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business, you represent that you are authorised to bind that business, and "you" includes that business.

2. Beta / early access

The Service is offered in an early-access state. It may change, be interrupted, or contain errors, and features may be added or removed. You should not rely on it as the sole system of record for critical operations, and you should keep your own backups of important data. Do not enter highly sensitive records (for example full medical histories, government identifiers, or card/bank credentials) during beta.

3. Accounts and security

You are responsible for the accuracy of your registration details, for keeping your password confidential, and for all activity under your account. Notify us promptly of any unauthorised use. We may suspend or terminate accounts that violate these Terms or that create risk for the Service or other users.

4. Your data and your responsibilities as a business

You retain ownership of the data you enter ("Your Content"). You grant us a limited licence to host and process Your Content solely to provide the Service. When you enter data about your own customers, patients, or staff, you are the controller of that data: you are responsible for having a lawful basis to collect and use it, for providing any required notices and consents to those individuals, and for honouring their rights. Our handling of personal data is described in the Privacy Policy.

5. Acceptable use

You agree not to: use the Service unlawfully or to store unlawful content; upload malware; attempt to breach, probe, or disrupt the Service or its security or rate limits; access data that is not yours; reverse engineer or copy the Service except as permitted by law; resell or sublicense the Service without our written consent; or use the Service to send unlawful or non-consented messages. You must comply with messaging/telecom rules (including DLT and WhatsApp policies) for any communications you trigger.

6. Payments and subscriptions

Paid plans are billed as described at checkout (for example, monthly per workspace). Payments are processed by Razorpay; by paying you also accept the processor's terms. Unless stated or required by law, fees are non-refundable. Taxes may apply. We may change pricing on prospective notice. During beta, no payment may be collected; that does not waive future fees once billing begins. [CONFIRM REFUND, TRIAL, AND AUTO-RENEWAL TERMS WITH COUNSEL.]

7. Third-party services

The Service integrates third-party services (for example Razorpay, 2factor.in, Google, OpenStreetMap, Open Food Facts). We are not responsible for third-party services, and your use of them may be subject to their terms. See the NOTICE file in our repository for attributions.

8. Intellectual property

The Service, including its software, design, and the TAKSH name and marks, is owned by [LEGAL ENTITY NAME] and protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you. Third-party components remain under their own licences.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TAKSH does not provide medical, legal, financial, tax, or accounting advice; outputs and reports are tools to assist you and are not a substitute for professional judgment.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAKSH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE [3] MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. [CONFIRM CAP WITH COUNSEL.]

11. Indemnity

You agree to indemnify TAKSH against claims arising from Your Content, your use of the Service, or your breach of these Terms or of the rights of a third party (including your customers, patients, or staff).

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach or risk. On termination you may request an export of Your Content within a reasonable period, after which it may be deleted per the Privacy Policy.

13. Governing law and disputes

These Terms are governed by the laws of [JURISDICTION, e.g. India], and the courts of [CITY / STATE] have exclusive jurisdiction, without regard to conflict-of-laws rules. [CONFIRM VENUE AND ANY ARBITRATION CLAUSE WITH COUNSEL.]

14. Changes to these Terms

We may update these Terms. Material changes will be posted here with a new date and, where required, notified to you. Continued use after changes take effect means you accept them.
